As a compliance-focused business that operates at the intersection of three highly-regulated industries (publicly traded company, financial services, and cannabis), we encounter novel legal issues daily. As Associate General Counsel, you will be a core component of the legal foundation of our business, providing front-line guidance and support to all areas of the company, contributing to decisions that impact our operations and growth, and maintaining a stable foundation of compliance, good governance, and recordkeeping. This position reports directly to the Chief Legal Officer.

At this rapidly-growing company, you’ll encounter direct practical involvement in a variety of novel practice areas and niches, including: cannabis, securities, corporate governance, banking, payments, technology, real estate, privacy, and employment law. While every day will be a little bit different, some of the matters you’ll be tasked with include:

  • Contracts – Drafting, reviewing, negotiating, and coordinating with and advising internal stakeholders regarding the terms and implications of proposed contracts with strategic partners, service providers, customers, and other parties;
  • Governance – Maintaining the company’s corporate documents and records, making and maintaining state-level corporate filings everywhere the company does businesses, and issuing and managing shares of stock for the company’s stockholders (through Carta or a similar service);
  • Securities – Issuances of required notices and communications to investors, including required regulatory filings and approvals;
  • Administrative – Updating and maintaining the company’s standard service agreements, sales contracts, nondisclosure agreements, and other documents on DocuSign and AdobeSign and managing the storage and organization of all company contracts and legal documents;
  • Technology / Privacy – Research and advisory on implications of the utilization of new and emerging tech, and ensuring that appropriate policies and disclaimers (such as privacy policies and terms of use) appear on the company’s web pages and web-based applications;
  • Corporate Controls – Ensuring the company is prepared for its annual audits and examinations including SOC II, PCI-DSS, public filings, and others as necessary, and ensuring compliance is maintained throughout the year through consistent application of company policy on data security, vendor due diligence, record retention, and other topics; and
  • Ability to learn quickly and perform research on general advisory on topics including (but certainly not limited to):
  • Local cannabis licensing and operating laws and regulations, and the timing and process for issuance of new licenses in a jurisdiction
  • Money transmission / money service business laws (both state and federal)
  • NACHA and Fedwire rules and regulations
  • Sarbanes-Oxley Compliance (including but not limited to SOX 404 Internal Controls)
  • State lending laws and licensure requirements

The ideal candidate should:

  • Have a minimum of 3 years of law practice experience in one or more of the practice areas described above
  • Have strong skills in contract drafting, analysis, and negotiation, and a practical, results-driven mentality towards the practice of law;
  • Be able to dive in, work independently, and juggle multiple priorities from various stakeholders while driving results, with a premium on speed;
  • Be able to shift rapidly between topics, concepts, and scenarios;
  • Be licensed to practice law (in good standing) in at least one U.S. state;
  • Be enthusiastic about the cannabis industry, banking, financial technology, public company environment, and the opportunity to work in emerging industries

PLEASE NOTE: This is a full-time position based in Safe Harbor Financial’s main office in Golden, Colorado, or satellite office in North Little Rock, Arkansas. However, a partially-remote arrangement will be considered for highly qualified candidates.
